1. Introduction

These Terms and Conditions (hereinafter “Terms”) govern the use of the website www.putcallflow.com (hereinafter the “Website”) and the services provided by Enchions LLC, holding Reg. No.: 2024-001480371, with its registered office at 1309 Coffeen Avenue Ste 15526, Sheridan, Wyoming 82801, United States (hereinafter the “Provider”, “we”, or “us”).

By accessing our Website or purchasing our services, you (the “User” or “Client”) agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Nature of Services & Disclaimer (IMPORTANT)

2.1 No Investment Advice: The Provider offers automated trading software solutions, server rentals, and trading signals (algorithms). We are not financial advisors, broker-dealers, or investment managers. The content provided on the Website and through our services is for educational and informational purposes only and does not constitute financial advice or a recommendation to buy or sell any financial instrument.

2.2 High-Risk Warning: Trading financial instruments, including options and CFDs, involves a high level of risk and may not be suitable for all investors. You could lose some or all of your initial investment. You should not trade with money that you cannot afford to lose.

2.3 Software Tool: Our services are strictly technical software tools that execute commands based on pre-defined algorithms. The Client retains full responsibility for their brokerage account and any trading decisions made, even if executed automatically.

3. Execution Risks (Slippage and Latency)

The Client acknowledges that automated trading is subject to market conditions and technical limitations.

Slippage: The execution price of an order may differ from the price indicated in the Signal due to market volatility. The Provider is not liable for such price differences.
Latency: There may be a delay between the generation of a Signal and its execution on the Client's IBKR account due to internet connection speed or broker processing times. The Client accepts that actual trading results may differ from theoretical or historical performance due to these factors

4. Consequences of Manual Intervention

The Client acknowledges that the service is designed as a fully automated system. If the Client manually intervenes in the trading account (e.g., manually closing positions opened by the Signal, modifying Stop-Loss/Take-Profit levels, or opening conflicting positions), the Provider is immediately released from any liability regarding the performance of that specific trade or the overall strategy. Manual intervention may disrupt the algorithm's logic and lead to unpredictable financial results.

5. Market Gaps and Stop-Loss Orders

The Client understands that "Stop-Loss" orders generated by the system do not guarantee execution at a specific price. In highly volatile markets or during market opening gaps, orders may be executed at a significantly worse price than the trigger price (Slippage). The Client accepts this market risk and agrees that the Provider is not liable for losses exceeding the intended risk parameters due to market liquidity issues.

6. Updates and Modifications to Strategies

The financial markets are dynamic. The Provider reserves the right to update, modify, or retire specific trading algorithms or parameters at any time to maintain performance or manage risk. Such changes are considered part of the standard service and do not constitute a breach of the Agreement.

7. Server Acceptable Use Policy:

The Client is strictly prohibited from using the rented Server for any purpose other than running the Provider’s trading software. Specifically, the Client must not:

Install third-party software, scripts, or bots without prior written consent.
Use the Server for cryptocurrency mining.
Engage in any illegal activities, spamming, or attacks on other networks. Violation of this policy will result in immediate termination of the Service without a refund.

8. Use of Aggregated Data

The Client agrees that the Provider may collect, aggregate, and analyze data regarding the trading performance and execution history generated by the software. The Provider has the right to use such anonymized and aggregated data (stripped of any personally identifiable information) for marketing purposes, public performance statistics (equity curves), and system optimization. The Client shall not be entitled to any compensation for the use of such data.

9. Service Agreement

9.1 Individual Contract:

To access the automated trading signals and server rental, the Client must enter into a separate written agreement titled “AGREEMENT FOR THE PROVISION OF TRADING SIGNALS AND SERVER RENTAL” (hereinafter the “Service Agreement”).

9.2 Prevailing Terms: In the event of any conflict between these general Terms and the specifically signed Service Agreement, the terms of the Service Agreement shall prevail.

10. Eligibility

By using our services, you represent and warrant that:

You are at least 18 years old.
You have the legal capacity to enter into a binding contract.
You are not a citizen or resident of any jurisdiction where the use of our services would be illegal or violate local regulations.

11. Payments and Fees

11.1 Fees: Fees for server rental and performance commissions are detailed in the Service Agreement.

11.2 Payment Methods: We accept payments via credit card (Stripe) or other agreed methods. By providing payment information, you represent that you are authorized to use the payment instrument.

11.3 Taxes: The Client is solely responsible for declaring and paying any applicable taxes on profits generated from trading in their country of residence.

12. Refund Policy

12.1 Digital Nature of Goods: Due to the digital nature of the services (software configuration, server setup, and access to proprietary algorithms), all sales are final.

12.2 No Refunds: Once the Server setup has been initiated or the API connection established, the Provider does not offer refunds for the Server Rental fee or the installation package. Performance commissions are only charged on realized profits as per the Service Agreement.

13. Intellectual Property

13.1 Ownership: All content on this Website, including algorithms, code, texts, graphics, logos, and software, is the property of Enchions LLC and is protected by intellectual property laws.

13.2 License: The Client is granted a limited, non-exclusive, non-transferable license to use the software solely for their personal trading account as described in the Service Agreement. You may not copy, reverse engineer, or redistribute our software or signals.

14. Limitation of Liability

To the fullest extent permitted by applicable law (Wyoming, USA):

Enchions LLC shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use of our services.
We are not responsible for technical failures of third parties, including but not limited to Interactive Brokers (IBKR), internet service providers, or data feed providers.
We do not guarantee that the software will be error-free or uninterrupted.

15. Third-Party Risks (Interactive Brokers)

The Client acknowledges that the service requires a functional account with Interactive Brokers (IBKR). The Provider is not affiliated with IBKR and has no control over their systems. Any losses caused by IBKR’s platform failures, API changes, or execution delays are not the responsibility of the Provider.

16. Governing Law and Dispute Resolution

16.1 Jurisdiction: These Terms and any separate agreements shall be governed by and construed in accordance with the laws of the State of Wyoming, USA.

16.2 Dispute Resolution: Any dispute arising out of or in connection with these Terms shall be settled primarily by negotiation. If no agreement is reached, the dispute shall be submitted to the competent courts of the United States of America.

17. Changes to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Website after any changes constitutes your acceptance of the new Terms.
